TERMS AND CONDITIONS – ASSET TRACKER VAULT:

1. Definitions

“We” = Where outlined within this document “We” shall refer to the Corporation “Grey Owl Vault Inc.”

“App” = Where specified within this document “App” refers to the application by which this document is referring.  In this instance, App will refer to “Asset Tracker Vault”.

“Corporation” = Where specified in this document Corporation will refer to the applications Parent Company “Grey Owl Vault Inc.”

“Third Party” = Where referenced within this document will apply to any company or tools utilized within the app or externally to enhance its functionality for the users.

“User” = For the purpose of this document “User” will refer to any person or persons downloading the application for use as per Terms and Conditions below.  This will apply to both users utilizing Free Trial version or the Paid services as outlined below.

“You” = Where utilized within this document refers to the individual or “User” that is utilizing the application and established an account as per terms below.

1. License to Use
   • Subject to these Terms, Grey Owl Vault Inc. grants User personal , non-exclusive, non-transferrable, non-sub licensable, revocable license to download, display, and use the Asset Tracker Vault App, including text, graphics, images, photographs, videos, data displays, illustrations and other content associated with the App, for personal non-commercial use in connection with the Services.  This license does not include any right to, and you will not: (a) sell, resell or commercially use the App or content; (b) copy, reproduce, distribute, publicly perform or publicly display the Asset Tracker Vault Conant; (c) modify the App or Asset Tracker Vault content; (d) use any data mining, robots, AI or similar data gathering or extraction methods on the App; and (e) use the App or Asset Tracker Vault content other than for their intended purposes.
   • The App is protected by copyright laws, international treaties and conventions and other laws and Grey Owl Vault retains all right, title and interest in and to the Asset Tracker Vault App, including all intellectual property rights associated with the App. Except as expressly granted above, you have no intellectual property rights in the App (including any rights to use the trademarks, trade names, service marks, logos, domain names, and other distinctive brand features), and Grey Owl Vault reserves the rights not Expressly Granted to you.
2. Prohibited Conduct
   • You agree to use the App in accordance with these Terms and applicable laws and regulations.  You will not violate any applicable law, contract, intellectual property or other third-party right or commit a tort, and you are solely responsible for your conduct while accessing or using the App.  In connection with your use of the App and Services you will not:
     • Engage in any harassing, threatening, intimidating, predatory or stalking conduct;
     • Impersonate another person or log into an account which you are not authorized to access;
     • Use or attempt to use another Users account without authorization from that User and Grey Owl Vault;
     • Use the App in any manner that could interfere with, disrupt, negatively affect or inhibit other users from fully enjoying use of the App and the Services or that could damage, disable, or impair the functioning of the App and the Services in any manner, including with respect to Asset Tracker Vaults network or network security
     • Interfere or attempt to interfere with service or any user, host or network, including by way of introducing a virus, overloading, flooding or crashing or sending unsolicited e-mail promotions or advertisements;
     • Use the App for any other purpose other than tangible physical assets;
     • Use the App and its storage capabilities for anything other than a repository for assets;
     • Reverse Engineer, decompile, or disassemble any aspect of the App or do anything that might discover source code or bypass or circumvent measures employed to prevent or limit access to any part of the App; or
     • Develop or use any third-party applications that interact with the App or Services without prior written consent, including any scripts designed to scrape or extract data from the App.

1. Right to Terminate Accounts
   • If you are in breach of any of these Terms, we reserve the right, in our sole discretion to terminate your right to access or use of the App.  We are not responsible for any loss, damage or harm related to your inability to access or use the App based on such termination.
   • Either party may terminate this agreement immediately, without further obligation to the other party, in the event of a material breach of this agreement by the other party that is not remedied within twenty-one days after the breaching party’s receipt of written notice of such breach.  The parties may terminate this Agreement at any time upon their mutual Agreement.
   • Upon expiration or termination of this agreement for any reason, licensee acknowledges and agrees that its access to the licensed materials may be automatically terminated, all passwords and individual accounts removed, and all information that has been uploaded into the repository by licensee scrubbed. Upon expiration or termination of this Agreement for any reason, unless otherwise provided herein, licensee agrees to destroy any and all copies of licensed materials and any information it has obtained from the licensed materials, whether in hard copy or electronic form.
   • If this agreement is Terminated by Grey Owl Vault due to a material breach by licensee, all outstanding subscription fees payable to be paid to Asset Tracker Vault for the remainder of the then-current Term shall be immediately due and payable to Grey Owl Vault Inc. and Licensee shall promptly remit all such fees to Grey Owl Vault.
   • If this agreement is terminated by Licensee due to an uncured material breach by Grey Owl Vault, Grey Owl Vault shall promptly refund the pro-rata amount of any pre-paid Subscription Fees attributed to periods after the date of such termination.
2. How a User can Cancel/Terminate an Account
   • Notwithstanding the above provisions of this clause, you may cancel your subscription at any time within the subscription period by sending an email to services@greyowlvault.com.  Please specify within that notification your username. Cancellation will be effective within 30 days of confirmed receipt of request for cancellation and not further billing will take place.
3. Ownership of Your Content
   • We are the owner or the licensee of all intellectual property rights in the Platform, and in the material published on it.  Those works are protected by copyright laws and treaties around the world.  All such rights are reserved.  In accessing the App you agree that you will access its contents and use the Services solely for your personal, non-commercial use.  The Platform including parts of it, may not be downloaded, copied, reproduced, transmitted, stored, sold or distributed without the prior written consent of the copyright holder.  This excludes the downloading, copying and/or printing of pages of the Platform for personal, non-commercial home use only.
4. User Generated Content
   • Asset Tracker vault does not claim ownership of any Content you post, upload or submit to any publically accessible areas of the Platform.  However, by doing so you are granting us a worldwide, royalty free, sub-licensable, non-exclusive license to copy, distribute, transmit, reproduce, publicly display, edit, translate or publish such content on the Platform.  This license shall be terminated when such Content is deleted from the App by either party.  With your permission, we may also use your content in other types of media, including social media platforms, promotional purposes.
5. DMCA section
   • Grey Owl Vault respects the intellectual property rights of others and expects its users to do the same.  In accordance with the Digital Millennium Copyright Act of 1998, the text of which may be found on the US Copyright Office website at https://www.copyright.gov/legislation/dmca.pdf  Grey Owl Vault will respond expeditiously to claims of copyright infringement committed using the Asset Tracker Vault service and/or the Grey Owl Vault Inc. Website.  If such claims are reported to Grey Owl Vaults designated Copyright Agent at privacy@greyowlvault.com
   • If you are a copyright owner, authorized to act on behalf of one, or authorized to act under any exclusive right under copyright, please report alleged copyright infringements taking place on or through the App by:
     • Identifying the copyrighted work that you claim has been infringed
     • Identify the material or link you claim is infringing (or subject of infringing activity) and to which access is to be disabled
     • Provide your company affiliation (if applicable), mailing address, telephone number, and, if available, email address.
     • Include both of the following statements in the body of the Notice:
       • “I hereby state that I have a good faith belief that the disputed use of the copyrighted material is not authorized by the copyright owner, its agent or the law”
       • “I hereby state that the information in this Notice is accurate and, under penalty or perjury, that I am the owner, or authorized to act on behalf of, the owner, of the copyright or of an exclusive right under the copyright that is allegedly infringed.”
     • Provide your full legal name and electronic or physical signature.

1. Payment Details
   • If you are using a limited time free trial version of our Asset Tracker Vault, it really is free:  we do not ask you for your credit card.
   • For paid Services once the trial version has expired or user opts to move to a subscription model, you need to pay in advance to keep using the Service.  If you do not pay, we will freeze your account and it will be inaccessible until you make payment.  If your account has been frozen for a while, we will queue it up for auto cancellation.  See our Cancellation Policy for more details at www.greyowlvault.com.
   • If you are upgrading from a free plan to a paid plan, we will charge your credit card immediately and your billing cycle starts on the day of the upgrade.
   • All fees are exclusive of all taxes, levies, or duties imposed by taxing authorities.  Where required, we will collect those taxes on behalf of the taxing authority and remit those taxes to taxing authorities.  See our Taxes Policy for more details.
   • We process refunds according to our Fair Refund Policy.

Renewal and Cancellation

  With the exception of Paid subscriptions for a Pre-paid period, your payment to Grey Owl Vault or the third party through which you purchased the Paid Subscription will automatically renew at the end of the applicable subscription period, unless you cancel your Paid Subscription before the end of the then-current subscription period.  View our website at www.greyowlvault.com Customer Support for instructions on how to cancel your subscription.  The cancellation will take effect the day after the last day of the current subscription period.  We do not provide refunds or credits for any partial subscription periods, except as expressly stated in these Terms.

1. Right to Update or Modify Terms
   • We reserve the right, at our discretion, to change the Terms on a going forward basis at any time.  Please check the Terms periodically for changes.  If we make changes, we will post the amended Terms within the App and update the “Last updated” date accordingly.  We may also attempt to notify you by sending an email notification to the address associated with your account or providing notice through the App.  Unless we say otherwise in our notice, the amended Terms will be effective immediately and your continued access to and use of the App after we provide notice will confirm your acceptance of the changes.  If you do not agree to the amended Terms, you must stop accessing and using the App.
2. Disclaimer of Warranty
   • All services within the App are provided “As IS” and on an “As Available” basis, without warranty or condition of any kind, either express or implied.  The Grey Owl Vault entities specifically (but without limitation) disclaim (i) any implied warranties of merchantability, use for a particular purpose, quiet enjoyment or non-infringement; (ii) any warranties arising out of course of dealing, usage, or trade; (iii) any warranties that the information or results provided in, or that may be obtained from use of, the service will meet your requirements or be accurate, reliable, complete, or up-to-date; and (iv) any warranties whatsoever regarding any products, services, information or other material advertised, made available, or referred to you through the service.  You assume all risk for all damages, including damage to your computer system, mobile device or loss of data that may result from your use of or access to the services.  Any content, materials information or software downloaded, used or otherwise obtained through the use of the service is done at your discretion and risk.  Some jurisdictions do not allow the exclusion of certain warranties in some circumstances.  Accordingly, some of the above limitations may not apply to you.
3. Disclaimer of Liability
   • You expressly understand and agree that Grey Owl Vault Inc. shall not be liable, in law or in equity, to you or or to any third party for and direct, indirect, incidental, lost profits, special, consequential, punitive or exemplary damages, including, but not limited to, damages for loss of profits, goodwill, use, data or other intangible losses (even if Grey Owl Vault Inc. has been advised of the possibility of such damages), resulting from: (i) the use or the inability to use the Services; (ii) the cost of procurement of substitute goods and services resulting from any goods, data, information or services purchased or obtained or messages received or transactions entered into through or from the Services; (iii) unauthorized access to or alteration of your transmission or data; (iv) statements or conduct of any third party on the service; (v) or any other matter relating to this Terms of Service or the Services, whether as a breach of contract, tort (including negligence whether active or passive), or any other theory of liability.
4. Governing Law
   • The Terms are governed by the laws of the Province of Ontario, without regard to its conflict of laws rules, and the laws of Canada.  These laws will apply no matter where in the world you live, but if you live outside of Canada or United States, you may be entitled to the protection of the mandatory consumer protection provisions of your local consumer protection law.
5. Privacy Policy
   • Grey Owl Vault Inc. knows and values how important your personal information is to you therefore it’s important to us!  Our Privacy Policy details how your information is used when you use our Services.  By using Services provided through the App, you’re also agreeing that we can process your information in ways set out in the Privacy Policy so please read it at www.greyowlvault.com/ATVprivacy
